Chairman Wright called the special meeting to order at 5:00 p.m. and
delivered the invocation.

The Pledge of Allegiance to the American Flag was conducted.
Chairman Wright called for Approval of the Agenda.
Interim County Attorney Burton requested a closed meeting and
consideration of approval for the County Attorney's office to advertise the
Tax Rate Ordinance and Personal Property Tax Relief Ordinance be added to
the agenda.
Supervisor Hall moved that the agenda be approved, as amended. The
motion was adopted (5-0) with Supervisors Bunch, Casteen, Clark, Hall and
Wright voting in favor of the motion and no Supervisors voting in opposition
to the motion.
Chairman Wright called for a presentation of the FY 10 Audit by
Goodman & Company.
Mary Kay Villa, Dickson, Hughes and Goodman, presented the
County's Fiscal Year 2010 Audit Report. She made reference to Page 15,
Unrestricted Fund Balance, which represents a 4% increase over last year.
She provided a highlight of the County's debt service payments and the
reason behind the increase in the Fund Balance, which is a result of the
method in which the County looked at restructuring its debt service.
Supervisor Clark moved that the presentation be received. The motion
was adopted (5-0) with Supervisors Bunch, Casteen, Clark, Hall and Wright
voting in favor of the motion and no Supervisors voting in opposition to the
motion.
Chairman Wright called for consideration of the Western Tidewater
Regional Jail Authority Resolution/2011 Series A & B Refunding Bond
Resolution not to exceed $7 Million.
Jimmy Sanderson, Davenport & Company, advised that the purpose of
the resolution under consideration is to approve consent to the issuance of
refunding bonds by the Western Tidewater Regional Jail Authority and new
money bonds up to $4 million. He explained that the refunding is for savings
to the Authority related to a HVAC project and the resolution also approves
an amended and restated Service Agreement, which has been reviewed by
Interim County Attorney Burton and Hunton & Williams, the County's bond
counsel. He stated that the consent of all three (3) members of the Authority
are required, but the County's obligation is only if there is a shortfall in debt
service at the Authority level and the County is not obligated to make
payments on this debt otherwise.
Supervisor Clark moved that the following Resolution and Service
Agreement be adopted:
RESOLUTION OF THE BOARD OF SUPERVISORS OF THE
COUNTY OF ISLE OF WIGHT, VIRGINIA APPROVING CERTAIN
ACTIONS PROPOSED TO BE TAKEN BY THE WESTERN
TIDEWATER REGIONAL JAIL AUTHORITY AND THE AMENDMENT
AND RESTATEMENT OF THE
SERVICE AGREEMENT AMONG THE AUTHORITY AND
ITS MEMBER JURISDICTIONS
A. The Western Tidewater Regional Jail Authority (the "Authority")
was created pursuant to Article 3.1, Chapter 3, Title 53.1 of the Code of
Virginia of 1950, as amended, by the City of Franklin, Virginia, the County
of Isle of Wight, Virginia, and the City of Suffolk, Virginia (collectively, the
"Member Jurisdictions")
B. As authorized by a resolution adopted by the Board of Directors
of the Authority on April 13, 2011, the Authority proposes to issue its
revenue and refunding bonds in an aggregate principal amount of up to
$7,000,000 (the "2011 Bonds") for the purpose of financing or refinancing (i)
the acquisition, construction and equipping of certain capital improvements
to the Authority's regional jail facility (the "Regional Jail") as described in
the below-defined Service Agreement, primarily the HVAC project (the
"2011 Project"), (ii) the refunding of the Authority's Revenue and Refunding
Bond, Series 2008 (the "Refunded Bond"), and (ii) the costs of issuing the
2011 Bonds.

C. The goal of the Authority in refunding the Refunded Bond is
secure debt service savings for the Authority and the Member Jurisdictions.
D. In order to satisfy certain requirements of the bank proposing to
purchase the 2011 Bonds as set forth in the term sheet approved by the
Authority (the "Term Sheet") and to update and delete certain obsolete
provisions from the Service Agreement dated as of August 1, 1991 (the
"Original Service Agreement"), by and among the Authority and the Member
Jurisdictions, McGuire Woods, LLP, the Authority's bond counsel, has
prepared an Amended and Restated Service Agreement to be dated as of
April 15, 2011 (the "Service Agreement"), by and among the Authority and
the Member Jurisdictions.
E. One of the requirements of the Term Sheet is a "moral
obligation" pledge by each of Member Jurisdictions to pay its pro rata share
of any debt service on the 2011 Bonds for which the Authority's net revenues
are insufficient.
F. Section 4.1(b) of the Service Agreement sets forth provisions for
actuating the moral obligation pledge.
G. Sections 5.1 and 5.9 of both the Original Service Agreement and
the Service Agreement require the consent of each of the Member
Jurisdictions to the undertaking by the Authority of the 2011 Project and the
issuance of the 2011 Bonds.
H. The most recent draft of the Service Agreement has been
presented to this meeting.
NOW, THEREFORE, BE IT RESOLVED, by the Board of
Supervisors of the County of Isle of Wight, Virginia (the "County"), that:
1. The County hereby consents to the Authority's undertaking of
the 2011 Project and the Authority's issuance of the 2011 Bonds for the
purposes described in Recital C above, subject to the adoption of similar
resolutions by the governing bodies of the other Member Jurisdictions.
2. The Service Agreement is hereby approved. The Chairman of the
Board of Supervisors of the County is authorized to execute and deliver on
behalf of the County the Service Agreement in substantially the form
submitted to this meeting, with such changes, insertions or omissions as may
be approved by the Chairman, whose approval shall be evidenced
conclusively by his execution and delivery of the Service Agreement on the
County's behalf.
3. The County hereby pledges and agrees that if the Authority lacks
sufficient funds to pay scheduled debt service on the 2011 Bonds or any

other Bonds issued in accordance with the Service Agreement, or to fulfill
any debt service reserve funding requirements, the County will pay, subject
to the conditions contained in Section 4.1(b) of the Service Agreement and
the limitations set forth below, a portion of such insufficiency equal to its Pro
Rata Share percentage then in effect for the then-current Fiscal Year as
determined pursuant to Section 3.2 of the Service Agreement. Any such
payment will be subject to the appropriation of funds by the Board of
Supervisors of the County and shall constitute a moral, non-binding payment
obligation. In no event shall the obligation of the County under Section
4.1(b) of the Service Agreement be deemed to constitute a debt within the
meaning of the Constitution of Virginia. The terms "Pro Rata Share" and
"Fiscal Year" are defined in the Service Agreement.
This resolution shall take effect immediately and shall not be
published.
The motion was adopted (5-0) with Supervisors Bunch, Casteen, Clark,
Hall and Wright voting in favor of the motion and no Supervisors voting in
opposition to the motion.
Mr. Sanderson briefed the Board on the 2011 bond issue relating to the
Windsor Middle School project under consideration by the County. He
stated that the County's Capital Improvements Program (CIP) consists of $11
million in General Fund capital projects through 2015 and $25 million in
utility funding over that same period of time. He stated that he has reviewed
the Windsor Middle School project in the amount of $24 million as it relates
to the Commonwealth of Virginia's allocation of $7.5 million in qualified
school construction bonds. He advised that the County's current ratings are
"AA" from Moody's and Fitch. He advised that the County did do a
refunding for debt service savings which produced a savings to the County in
2011 of $800,000. He stated that a previous analysis had indicated that the
County needed to raise its tax rate by 2.25 cents to complete the CIP funding
of $11 million, prior to the Windsor Middle School project. He
recommended that the County in 2011 borrow $5 million related to the 2011-
15 CIP with a twenty (20) year term and three (3) years of interest only
followed by seventeen (17) years of level debt service. He notified the Board
that the $7.5 million in qualified school construction bonds could be issued
through the Virginia Public School Authority (VPSA) at zero (0) percent
interest with a current repayment date of sixteen (16) years. He stated he is
also suggesting that the County issue $7.5 million of an interim note that
would be 4% interest with five (5) years with the expectation that it be taken
out through the Virginia Literary Loan Program at a subsidized interest rate
of 3%. He stated the permanent refinancing on the remain portion of the loan
equals $9 million at 5% interest with a twenty (20) year repayment period
and three (3) years of interest only for seventeen (17) years of level debt
service. He stated that the same assumptions were made with respect to debt
service and repayment schedules in a total of $6 million in bonds issued
related to the borrowings in 2013 and 2015 to complete the CIP as needed.

He stated with respect to how new debt service, when added to the County's
existing debt service, will increase and require the County to find additional
funds to make payments, $35 million is assumed of debt issuance, with a
payout ratio of 72% at a sixteen (16) year repayment schedule. He stated that
the tax impact over the next five (5) years will equal approximately $.06. He
advised that the County will save approximately $7.5 million in debt service
on its VPSA loan over the life of the bond because it is a zero (0) percent
loan. He recommended that the County review refinancing of some of its
existing debt and restructure the loan by moving the principal to address the
impact in 2012 through 2015. He stated in his opinion, taking advantage of
the qualified school construction bonds will allow the County to move
forward with the Windsor Middle School project, to incorporate the
restructuring of the small portion of existing debt without having an impact
on the tax rate in 2012 or 2013. He stated it is important that the County is
not extending its debt beyond a ten (10) year pay out ratio, which is
something rating agencies look favorably upon. He stated with respect to
utility funding, the first phase has been completed where it was
recommended that the County issue a bond anticipation note that was interest
only for four (4) years and are now in the second phase of that with
approximately $6.6 million of debt that would need to be issued for utilities.
Supervisor Clark moved that the report be accepted. The motion was
adopted (5-0) with Supervisors Bunch, Casteen, Clark, Hall and Wright
voting in favor of the motion and no Supervisors voting in opposition to the
motion.
County Administrator Caskey presented a resolution effectuating the
Board's action at its April 7, 2011 meeting to approve a request from the
Schools to appropriate $350,000 in unused carry over funds in FY2010 for
the purpose of securing an architect for the pre-design of the Windsor Middle
School.
Supervisor Bunch moved that the following Resolution be adopted:
Resolution to Appropriate $350,000 from the
Unappropriated Fund Balance for Architectural
and Pre-design Engineering Work for
a New Windsor Middle School
WHEREAS, the Isle of Wight County School Board has identified the
need for replacement of the Windsor Middle School; and,
WHEREAS, the School Board is requesting funding in the amount of
$350,000 (three hundred fifty thousand dollars) to perform architectural and
pre-design engineering work for the Windsor Middle School; and,
WHEREAS, said funding needs to be appropriated from the
Undesignated Fund Balance to the Fiscal Year 2011 School Board budget.

NOW, THEREFORE, BE IT AND IT IS HEREBY RESOLVED by the
Board of Supervisors of Isle of Wight County, Virginia that funding in the
amount of $350,000 (three hundred fifty thousand dollars) shall be
appropriated from the Unappropriated Fund Balance to the School Board's
budget for Fiscal Year 2011.
BE IT FURTHER RESOLVED that the County Administrator is
authorized to do all things necessary to make the appropriate accounting
adjustments in the budget and to give this resolution effect.
The motion was adopted (4-1) with Supervisors Bunch, Clark, Hall and
Wright voting in favor of the motion and Supervisor Casteen voting in
opposition to the motion.
Michael W. Terry, Director of Budget and Finance, presented a
Resolution Appropriating $100,000 from the Undesignated Fund Balance for
the GASB 54 Implementation and FY Ending June 30, 2011 Pre-Audit
Preparation for the Board's consideration. He stated that the County, in order
to maintain its unqualified opinion from the auditors, needs to secure
professional accounting assistance to ensure full compliance with GASB 54
and to conduct pre-audit assessment and preparation work.
Supervisor Clark moved that the following Resolution be adopted:

WHEREAS, the County needs to secure external professional
accounting technical assistance to ensure full compliance with GASB 54 and
to conduct pre-audit assessment and preparation work; and,
WHEREAS, said funding in the amount of $100,000 (one hundred
thousand dollars) needs to be appropriated from the Undesignated Fund
Balance to the appropriate line item in the County's Fiscal Year 2011
Operating Budget.
NOW, THEREFORE, BE IT AND IT IS HEREBY RESOLVED by the
Board of Supervisors of Isle of Wight County, Virginia that funding in the
amount of $100,000 (one hundred thousand dollars) needs to be appropriated
from the Undesignated Fund Balance to the appropriate line item in the
County's Fiscal Year 2011 Operating Budget.
BE IT FURTHER RESOLVED that the County Administrator is
authorized to do all things necessary to make the appropriate accounting

Interim County Attorney Burton requested authorization of a public
hearing for the School Board and County Budgets on May 4, 2011 and a
public hearing for the Appropriation Ordinance, Real Property Tax Increase,
Tax Rate Ordinance and Personal Property Tax Relief Ordinance on May 26,
2011.
Supervisor Clark moved that the County Attorney's office be
authorized to advertise the School Board and County Budgets for public
hearing at the Board's May 4, 2011 meeting and the Appropriation
Ordinance, Real Property Tax Increase, Tax Rate Ordinance and Personal
Property Tax Relief Ordinance on May 26, 2011. The motion was adopted
(5-0) with Supervisors Bunch, Casteen, Clark, Hall and Wright voting in
favor of the motion and no Supervisors voting in opposition to the motion.
Interim County Attorney Burton requested a closed meeting pursuant to
Section 2.2-3711.A.5 regarding discussion concerning a prospective business
or industry or the expansion of an existing business or industry where no
previous announcement has been made of the business' or industry's interest
in locating or expanding its facilities in the Windsor District.
Supervisor Hall moved that the Board enter the closed meeting for the
reason stated. The motion was adopted (5-0) with Supervisors Bunch,
Casteen, Clark, Hall and Wright voting in favor of the motion and no
Supervisors voting in opposition to the motion.
Supervisor Hall moved that the Board return to open session. The
motion was adopted (5-0) with Supervisors Bunch, Casteen, Clark, Hall and
Wright voting in favor of the motion and no Supervisors voting in opposition
to the motion.
Chairman Wright moved that the following Resolution be adopted:

WHEREAS, the Board of Supervisors has convened a closed meeting on
this date pursuant to an affirmative recorded vote and in accordance with the
provisions of the Virginia Freedom of Information Act; and,
WHEREAS, Section 2.2-3712.D of the Code of Virginia requires a
certification by this Board of Supervisors that such closed meeting was
conducted in conformity with Virginia law;
NOW, THEREFORE, BE IT RESOLVED that the Board of Supervisors
hereby certifies that, to the best of each member's knowledge, (i) only public
business matters lawfully exempted from open meeting requirements by

Chairman Wright called for a public hearing on the following:
An Ordinance to Amend and Reenact the Isle of Wight County Code
by Amending and Reenacting Chapter 5. Elections.
Interim County Attorney Burton presented a proposed Ordinance
illustrating the five (5) district plan which was adopted by the Board. He
stated that included in the Ordinance are the meets and boundary descriptions
for all the districts for the new plan, as well as the precincts and the polling
places.
Chairman Wright called for persons to speak in favor of or in
opposition to the proposed Ordinance.
Albert Burckhart, Newport District, recommended that the Newport
District be renamed the Carrollton District.
Chairman Wright closed the public hearing and called for comments
from the Board.
Supervisor Clark moved that the following Ordinance be adopted:

AN ORDINANCE TO AMEND AND REENACT
THE ISLE OF WIGHT COUNTY CODE
BY AMENDING AND REENACTING
CHAPTER 5. ELECTIONS.
WHEREAS, Article 1, Section 2 of the United States Constitution
mandates that a full accounting of all United States citizens take place every
ten (10) years; and
WHEREAS, Article VII, Section 5 of the Virginia Constitution and
Section 24.2-304.1 of the Code of Virginia (1950, as amended) requires Isle
of Wight County in 2011 to reapportion representation among its election
districts; and
WHEREAS, Article VII, Section 5 of the Virginia Constitution and
Section 24.2-304.1 of the Code of Virginia (1950, as amended) requires that
such districts shall be composed of contiguous and compact territory and
shall be so constituted as to give, as nearly as is practicable, representation in
proportion to the population of the district; and
WHEREAS §24.2-304.1 of the Code of Virginia (1950, as amended)
requires Isle of Wight County to use the most recent decennial population
figures for the County from the United States Bureau of the Census in the
reapportionment of such districts; and
WHEREAS, the 2010 decennial census has indicated a 18.6% increase
in Isle of Wight County's population, which now requires the County to
adjust its voting districts, voting precincts and polling places, all in
accordance with the Voting Rights Act of 1965, as amended.
NOW, THEREFORE, BE IT ORDAINED by the Isle of Wight County
Board of Supervisors, Virginia, that the following sections of Chapter 5.

between Isle of Wight County and the City of Newport News and U.S. Route
17; thence in a Southwesterly direction along U.S. Route 17 to the
intersection of U.S. Route 17 and U.S. Route 258, the point of beginning.

The motion was adopted (3-2) with Supervisors Bunch, Clark and
Wright voting in favor of the motion and Supervisors Casteen and Hall
voting in opposition to the motion.
Responsive to Mr. Burckhart's comments, Interim County Attorney
Burton advised that it is too late to change the name of a district at this point
in time as the submission must be made by April 29, 2011. He stated that his
request can be considered in the future, assuming that the Board is agreeable
with changing the name of the Newport District to the Carrollton District.

Chairman Wright called for a work session on the budget.
Mr. Terry advised that the County's audit is complete and the County is
fiscally sound. He stated that the County received the highest audit opinion
that can be obtained and that the Board's past policies and practices assisted
the County in reaching that goal. He recommended that the County not
continue in its past practice of using funds from the Undesignated Fund
Balance in order to balance its budget. He further recommended not using
the Undesignated Fund Balance as a revenue source. He recapped for the
Board that the County should anticipate a drop in revenue in FY2012 of
$10.6 million, of which $5.6 million is a result of the closure of International
Paper. He stated that the County is so lean in core services that Departments
are coming back to the Board to request funding support to continue to do the
things that are required by the Board and expected by citizens. He stated in
order to keep the FY2012 budget flat, he would recommend that departments
have an adequate amount of resources available to them which will eliminate
staff from requesting additional funds from the Board during the course of
the year. He stated in order to close the projected fiscal gap, he would
recommend that the County maintain its current level of service, absorbing

the cost increase of health insurance and to maintain fiscal commitment to
community-based organizations and begin the establishment of a reserve for
public safety, which will revert back to the Undesignated Fund Balance if not
used by June 30 of each year or the Board may wish to add to the reserve
over time to increase it. He stated not only the fiscal policies need to be
examined, but look at discretionary expenditures which can be deferred due
to the poor economic condition. He stated he was able to identify
approximately $2.3 million between fiscal policy and discretionary
expenditures that could be removed from the expenses in order to reduce the
budget to approximately $91,000,000, which will result in a tax rate increase
of $.65 per $100, leaving a balance of $44,000. He advised that there is a
proposed reduction to the Schools of $1.6 million. He stated that the Board
does have discretion to defer the real estate assessment scheduled for July 1,
2011 and he has relayed his recommendation to move the reassessment to
July 1, 2013 to the Commissioner of the Revenue.
Phillip A. Bradshaw, Chief Financial Officer, addressed the Board
regarding the reduction of $1.6 million in the School's budget. He asked the
Board to keep in mind that the School's may have to return to the Board with
additional funding requests in the spring with regard to maintenance funding
needs.
Interim County Attorney Burton distributed a revised budget calendar
and advised the Board regarding certain legal requirements associated with
advertising the various public hearing dates relative to the School and County
budgets. He advised that the County's assessment can legally be delayed by
one (1) year.
Chairman Wright requested that the Commissioner of the Revenue be
requested to attend the Board's May 4, 2011 continued meeting (budget work
session) to advise the Board of his recommendation with respect to delaying
the assessment until 2013.
Supervisor Clark moved that the figures be used in the Director of
Budget and Finance's closing the fiscal gap analysis to allow the County to
advertise the budget for public hearing. The motion was adopted (4-1) with
Supervisors Bunch, Clark, Hall and Wright voting in favor of the motion and
Supervisor Casteen voting in opposition to the motion.

Chairman Wright moved to authorize the Director of Economic
Development to submit a proposal as discussed in the closed meeting. The
motion was adopted (5-0) with Supervisors Bunch, Casteen, Clark, Hall and
Wright voting in favor of the motion and no Supervisors voting in opposition
to the motion.
